Terms & Conditions

These Terms & Conditions (“Terms”) govern the provision of services by Ardalich Business Consulting (“we”, “us”, or “our”) to you (“the Client”).

By engaging our services, you agree to these Terms. Further Terms & Conditions are mentioned in the Client Engagement Letter and any other documentation that specifically provides explicit terms. 

1. Services

Ardalich Business Consulting provides professional services including:

  • Bookkeeping

  • Payroll

  • Accounting and financial reporting

  • BAS Agent services

  • Business consulting and advisory

 

The scope of services will be outlined and agreed upon prior to commencement of any engagement.

2. Engagement and Acceptance

A formal engagement (written or electronic) is required before services commence. This may include an engagement letter, proposal, or written confirmation.

We reserve the right to decline or cease engagement at our discretion where appropriate.

3. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information

  • Maintain proper records as required by law

  • Respond to requests for information within a reasonable timeframe

  • Review all reports, lodgements, and documents provided

 

We are not responsible for errors arising from incomplete, inaccurate, or delayed information supplied by you.

4. Fees and Payment

Fees will be communicated and agreed prior to engagement and may be structured as:

  • Fixed fees

  • Hourly rates

  • Per-service pricing (e.g., BAS lodgements)

 

Invoices are payable within number of days stated on the invoice, unless otherwise agreed.

We reserve the right to suspend services where accounts remain unpaid.

5. BAS Agent Services

Where applicable, services are provided in accordance with relevant taxation laws and professional obligations.

 

You acknowledge that:

  • You remain responsible for the accuracy and completeness of information provided to us

  • You are responsible for reviewing and approving all BAS and related lodgements prior to submission

6. Use of Cloud Accounting Software

We utilise cloud-based accounting platforms including Xero, QuickBooks, MYOB, and similar tools.

By engaging our services, you:

  • Authorise us to access your nominated systems

  • Acknowledge that data may be stored on servers located in Australia or overseas

  • Accept the inherent risks associated with digital platforms

7. Confidentiality

We will maintain the confidentiality of all client information and will not disclose it to third parties except:

  • Where required by law

  • Where authorised by you

  • Where necessary to provide our services

8. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, or consequential loss

  • Our liability is limited to the value of the services provided

 

We are not responsible for outcomes resulting from decisions made based on our advice without full disclosure of relevant information.

9. Professional Advice Disclaimer

Our services are based on the information available at the time and are provided in good faith.

You should seek additional professional advice where required before making significant financial or business decisions.

10. Termination of Services

Either party may terminate the engagement with reasonable notice.

We may terminate services immediately where:

  • Payment terms are not met

  • Required information is not provided

  • There is a breach of these Terms

 

Upon termination, all outstanding fees become immediately payable.

11. Record Retention

We may retain records in accordance with legal and professional obligations. You are responsible for maintaining your own copies of financial records.

12. Third-Party Services

We may rely on third-party providers and software. We are not responsible for the performance, availability, or data handling practices of these providers.

13. Changes to Terms

We may update these Terms from time to time. The latest version will be available on our website.

14. Governing Law

These Terms are governed by the laws of South Australia.
